Announcement of pricing of approximately $1,100 million (equivalent in a combination of USD and EUR) senior notes

CANPACK S.A. and EASTERN PA LAND INVESTMENT HOLDING LLC are pleased to announce that they have priced their successful debut issuance of $400 million aggregate principal amount of 3.125% senior notes due 2025 and €600 million aggregate principal amount of 2.375% senior notes due 2027 (the “Notes”).  The net proceeds of the Notes will be used (i) to repay, without cancelling, certain amounts outstanding under the Revolving Credit Facility, (ii) to redeem the Private Placement Notes, including costs and any applicable premia, (iii) to pay fees, costs and expenses and (iv) for general corporate purposes to support their liquidity position and fund capital expenditure requirements as they construct a new plant in Pennsylvania.  Interest on the Notes will be payable semi-annually in arrears. The offering of the Notes is expected to close and the Notes are expected to be issued on or about October 26, 2020, subject to customary conditions precedent for similar transactions.
